Your agreement to use AuthorityTracker services

1. Acceptance of Terms

By accessing or using AuthorityTracker ("Service," "Platform," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legal agreement between you ("User," "Customer," or "you") and Team Butler LLC, operating as AuthorityTracker ("Company," "us," or "we").

2. Description of Service

AuthorityTracker is a Software-as-a-Service (SaaS) platform that monitors your business's visibility and recommendations within AI platforms including ChatGPT, Claude, Perplexity, and Gemini. Our services include:

  • AI visibility scanning and monitoring
  • Competitive analysis and recommendations
  • Integration with third-party AI platforms via API
  • Reporting and analytics dashboards
  • Business intelligence and insights

3. Account Registration and Eligibility

To use our Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Represent a legitimate business entity
  • Have authority to bind your organization to these Terms

You are responsible for all activities that occur under your account.

4. API Integration and Third-Party Services

Our Service integrates with third-party AI platforms. You acknowledge that:

  • You must provide valid API keys for ChatGPT, Claude, Perplexity, and/or Gemini
  • Your use of these platforms is subject to their respective terms of service
  • You are responsible for any costs incurred through API usage
  • We query these platforms on your behalf using your provided credentials
  • API availability and functionality are dependent on third-party services
  • We are not responsible for third-party service outages or changes

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Distribute malware, spam, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for competitive intelligence against AuthorityTracker
  • Share account access with unauthorized parties
  • Submit false, misleading, or fraudulent information
  • Use the Service to harm, harass, or stalk others
  • Attempt to reverse engineer or copy our software

6. Subscription and Billing

Our Service is provided on a subscription basis:

  • Fees are charged in advance for each billing cycle
  • Subscription plans and pricing are available on our website
  • You authorize automatic renewal unless cancelled
  • Price changes will be communicated with 30 days notice
  • No refunds for partial months or unused services
  • Late payments may result in service suspension

7. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your business data, and we will handle your information as described in our Privacy Policy.

You grant us a limited license to process your data solely to provide the Service.

8. Intellectual Property

The Service, including all software, content, and technology, is owned by Team Butler LLC and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service subject to these Terms.

You retain ownership of your business data and any content you submit to the Service.

9. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service is provided "as is" and we reserve the right to:

  • Perform scheduled maintenance with advance notice
  • Make emergency repairs or security updates
  • Modify or discontinue features with reasonable notice
  • Impose usage limits to ensure fair access

10. Account Termination

Either party may terminate this agreement:

By You

  • Cancel your subscription at any time through your account settings
  • Request account deletion by contacting support
  • Service continues until the end of your current billing period

By Us

  • Immediately for violation of these Terms
  • With 30 days notice for non-payment
  • With reasonable notice for business reasons

Upon termination, you will lose access to the Service and we may delete your data after 30 days.

11. Disclaimers and Limitations

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Merchantability and fitness for a particular purpose
  • Accuracy, completeness, or reliability of data
  • Uninterrupted or error-free operation
  • Security or freedom from harmful components

AI platform results may vary and are not guaranteed to be accurate or complete. Our Service provides analysis tools but should not be your sole source for business decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the amount you paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, data, business opportunities, or reputation
  • These limitations apply regardless of the legal theory of liability

13. Indemnification

You agree to indemnify and hold harmless Team Butler LLC and AuthorityTracker from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Your business data or content

14. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia. Any disputes will be resolved through binding arbitration, except that either party may seek injunctive relief in court.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated by:

  • Email notification to account holders
  • Prominent notice on our website
  • In-app notifications

Continued use after changes indicates acceptance of the updated Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between parties
  • Severability: If any provision is invalid, the remainder remains enforceable
  • Assignment: You may not assign these Terms without our written consent
  • Waiver: Failure to enforce any provision is not a waiver of our rights
  • Force Majeure: We are not liable for delays due to circumstances beyond our control
